FinCEN's Final Rule Makes the Domestic Beneficial-Ownership Exemption Permanent, With No Preemption Language Aimed at State Registries
The rule is effective on the day the Federal Register published it. It adopts, with limited changes, the interim final rule FinCEN issued in 2025, and it leaves a beneficial-ownership reporting duty only for foreign-formed companies registered to do business in a U.S. state.
