E.D. Cal. Judge Enjoins Nexstar-TEGNA Integration and Orders TEGNA Held Separate; A Later Order Bars Nexstar Executives From TEGNA’s Board
On April 17, 2026, Chief Judge Troy L. Nunley of the Eastern District of California issued a preliminary injunction in the consolidated DIRECTV and state attorney-general challenges to Nexstar’s acquisition of TEGNA, brought under § 7 of the Clayton Act. The relief sought was a hold-separate order requiring Nexstar to preserve TEGNA as a separate and independent entity during the proceedings. The injunction continues the temporary restraining order issued March 27, 2026, and took effect April 21, 2026 at the defendants’ request. Plaintiffs were ordered to post security of $10,000.
Operative terms. Nexstar must not influence the management of the held-separate TEGNA business unit, and TEGNA personnel keep control of decisionmaking, including newsroom personnel. The order’s purpose is competition in retransmission consent; the newsroom language follows from keeping TEGNA running as a standalone business.
The board clarification. Plaintiffs later sought clarification. An order dated August 5, 2026 (filed 08/06/26) clarified that the injunction prohibits current and former Nexstar officers, employees, directors, consultants, or other affiliated personnel from serving on the Board of Directors for TEGNA. The order recites that on June 12, 2026 the defendants disclosed a five-member TEGNA Board made up exclusively of current and former Nexstar executives. The court finds that the defendants failed to comply with Rule 3.3 and admonishes them for their lack of candor.
Appeal. Nexstar appealed to the Ninth Circuit. The court’s notice schedules oral argument for November 17, 2026 in Pasadena, and the notice warns the panel may submit the case on the briefs instead.
