Reagan Announces Nomination of SAIC Director Donald Hicks as Pentagon Research Chief; Hicks Leaves the SAIC Board for His Government Term, Rejoins It Afterward

  • The White House announced the President’s “intention to nominate Donald Alden Hicks to be Under Secretary of Defense for Research and Engineering,” succeeding Richard DeLauer. The notice lists Hicks at Northrop and does not mention SAIC.
  • SAIC’s 1994 proxy statement lists Hicks as a director since 1984 and adds a footnote: “Dr. Hicks did not serve as a Director from July 1985 through December 1986.” The proxy does not give the nomination as the reason for the gap.
  • The same proxy says “the Company acquired HAI and HAI has been a wholly-owned subsidiary of the Company since that time” (HAI is Hicks & Associates, of which he is chairman; the proxy dates the acquisition to July 1991).
  • Sourcing limits: the board dates come from a 1994 filing describing the 1980s, not a contemporaneous one; SAIC’s 1980s filings are not on EDGAR, which begins in 1994 for this company.
